The M&A and Corporate Development Associate will monitor the ESA business portfolio, identify problems and recommend remediation as required.  Oversee some aspects of M&A process, including post-merger integration; work with Director, M&A and Corporate Development to help develop ESA strategy and assist line managers in developing business strategies that are consistent with corporate direction.



  • Scans environment for business opportunities, maintains surveillance over market, and may perform financial analysis of acquisition candidates.
  • May prepare acquisition proposals, recommend financial and nonfinancial strategic objectives and alternatives, and implement and maintain strategic and operational plans.
  • Assess condition of ESA portfolio of businesses on ongoing basis and advise ESA leadership and ESL on problems and remedies for business performance
  • Identify appropriate additions/deletions to portfolio to ensure appropriate balance of risk, reward and growth
  • Research, find and identify and recommend appropriate opportunities for adding business capabilities to the portfolio by means other than direct acquisition
  • Work with appropriate parties to prepare investment recommendations
  • Assist to negotiate acquisitions with sellers, divestitures with buyers and alliances with outside parties
  • Intermediate and coordinate with ESL on transactions
  • Assist with transaction formulation, due diligence and post-merger integration
  • Work with outside counsel in negotiating transaction and preparation of Definitive Documents related to transactions
  • Ensure quality of all processes related to M&A and corporate development (alliances and JVs) including: identification, valuation, negotiation, Due Diligence and post-merger integration
  • Coordinate ESA relationships with Investment Banks
  • Help prepare ESA strategic plans and assist Business Units in developing their strategic plans
  • Advise and consult with VP Marketing on strategy and portfolio issues
  • Provide support and guidance as required to non-traditional business transactions as they arise
  • Other related duties as assigned by supervisor.

Master's Degree Required. 3-5 years' experience may substitute.
